Terms and conditions of sale

These terms and conditions of sale (CGV) govern access to and use of the Woozi service. They apply only between professionals. The data processing agreement (DPA) is annexed to them and forms part of them.

This document is published in French and English. The English text is a translation: if the two differ, the French version prevails.

01Parties

The Woozi service, available at www.woozi.cloud and in its apps, is provided by Hashmi Tonmoy, sole trader (entrepreneur individuel, EI), trading name extrakt.app, brand Woozi, 54 Rue Diderot, 92600 Asnières-sur-Seine, France, RCS Nanterre 924 261 472, SIRET 924 261 472 00022 ("Woozi", "we"). Woozi is a brand: the contract is with the sole trader named above. The legal notice completes this identification.

The "Customer" is the professional who creates or is invited to a Woozi account and accepts these terms. The "Customer's clients" are the people the Customer exchanges with on WhatsApp, Instagram or Messenger, or who book with the Customer.

02For professionals only

  • Woozi is for professionals using it for their commercial, craft, liberal or agricultural activity. It is not sold to consumers.
  • At signup, every user confirms they are signing up for professional use and accepts these terms and the privacy policy; this acceptance is recorded with its date and the document version.
  • Using the WhatsApp, Instagram and Messenger channels requires a Meta business account (Meta business portfolio, WhatsApp Business account, Facebook Page or Instagram professional account), which the Customer creates and manages with Meta.
  • As the contract is between professionals, the consumer right of withdrawal under the French Consumer Code does not apply. The Customer warrants that it acts as a professional and is answerable for the consequences if it declared this wrongly.

03The service

Woozi connects the Customer's WhatsApp, Instagram and Messenger accounts to a shared inbox, with contact records, automations, broadcasts, an AI assistant ("Woozi AI") that replies or drafts replies, and booking tools. We may change features; if we remove one the Customer relies on, we give reasonable notice.

04Free trial

  • A new account gets a 14-day free trial of the Woozi Assist plan, with no card, 1 seat and 300 AI replies for the whole trial.
  • An email address is eligible for one trial only, including after a previous account was deleted.
  • Subscribing during the trial ends the trial immediately: the paid plan starts that day, with its AI reply allowance, and the first payment is taken that day. Remaining trial days are not carried over.
  • When the trial ends without a subscription, the account is not deleted: its data stays viewable, but sending messages and AI replies are suspended until the Customer subscribes. Incoming messages are still received and saved.

05Plans and prices

  • Woozi Assist: 1 seat included, 2,000 AI replies a month.
  • Woozi Assist Pro: 3 seats included, 4,500 AI replies a month.
  • Each plan is sold monthly or yearly. The yearly price is 10 times the monthly price.
  • Extra seat: 15 USD a month, or 180 USD a year on a yearly plan.
  • Launch prices at the date of this version: Woozi Assist 39 USD a month or 390 USD a year, Woozi Assist Pro 59 USD a month or 590 USD a year. Regular prices: Woozi Assist 59 USD a month or 590 USD a year, Woozi Assist Pro 99 USD a month or 990 USD a year.

Prices are in US dollars (USD). TVA non applicable, art. 293 B du CGI (VAT not applicable, article 293 B of the French General Tax Code): no VAT is charged. The applicable price is the one shown at the time of subscription, on the pricing page and the checkout page.

06Launch pricing and price changes

Launch prices are temporary and end on a date Woozi decides. Any price change that applies to an existing subscription, including the move from a launch price to the regular price, is notified to the Customer by email at least 30 days before it takes effect. The Customer may cancel before that date; otherwise the new price applies from the first renewal after that date.

07Payment, renewal and invoices

  • Payment is by card (or any other method offered) through Stripe, our payment provider. Woozi never sees or stores card details.
  • The subscription renews automatically at the end of each period (month or year), at the price then applicable, until cancelled.
  • Seats added during a period are charged pro rata on the next invoice; a seat removed gives a pro-rata credit on the next invoice, not a refund.
  • An invoice is issued for every payment and remains available in the billing portal.

08Cancellation by the Customer

  • The Customer can cancel at any time from the billing portal (Settings, Billing, Manage plan).
  • Cancellation takes effect at the end of the period already paid. The service stays available until then. No pro-rata refund is made, for monthly or yearly subscriptions.
  • Deleting the account (by its owner, in Settings) ends the subscription immediately, with no refund of the current period or of remaining top-ups.

09Non-payment

  • If a payment fails, Stripe retries the payment method several times, and the Customer is told by email and in the app so it can update its card.
  • After a grace period (1 day at the date of this version), sending messages, AI replies, automations and broadcasts are suspended until payment is made. Data is kept and stays viewable. If the retries fail, the subscription is cancelled.
  • Any amount unpaid when due bears, by law, late-payment penalties of three times the French legal interest rate, plus a fixed recovery indemnity of 40 EUR (articles L441-10 and D441-5 of the French Commercial Code). No discount is given for early payment.

10AI replies: allowance

  • Each plan includes an AI reply allowance per billing period; on a yearly plan the allowance applies each month. A normal AI reply counts as 1; a reply that checks availability or makes, moves or cancels a booking counts as 3. Replies written by the Customer's team, reminders and review requests are never counted.
  • Unused allowance does not carry over to the next period.
  • One conversation gets at most 10 AI replies a day by default; the Customer can set this limit from 1 to 20. Beyond it, the conversation is handed to the team until the next day.
  • When the allowance is used up, Woozi AI stops replying for the whole account. The Customer's client receives at most one short message per conversation per day saying a team member will reply, and the team can keep replying itself. Woozi AI resumes at the start of the next period or as soon as a top-up is bought.
  • An account that uses its own AI provider key, by separate agreement with Woozi, is not subject to the allowance; the provider bills it for that key's usage.

11AI reply top-ups

  • A Customer whose subscription is active can buy AI reply top-ups, at the price shown before payment.
  • Top-ups are non-refundable.
  • Each top-up is valid for 12 months from its payment; replies unused by then are lost. This period runs even while the subscription is suspended or cancelled.
  • Top-up replies can only be used while the subscription is active (including the short grace period after a failed payment). They are kept, but cannot be used, during the trial and during a suspension or after a cancellation, within their validity. They are lost when the account is deleted.
  • The plan's allowance is used first, then top-ups, oldest first.

12Woozi AI: limits and the Customer's responsibility

  • AI-generated replies may contain errors, omissions or inaccurate information. They are sent in the Customer's name and the Customer remains solely responsible for them, as for any reply sent by an automation.
  • The Customer provides and keeps up to date the information Woozi AI relies on (services, prices, hours, rules) and checks what the assistant sends.
  • The Customer tells its own clients that an AI assistant may answer them. Woozi AI never presents itself as a person and, when asked, says it is the Customer's AI assistant.
  • The AI features may only be used for the Customer's own business communication and testing on WhatsApp, Instagram and Messenger.

13Bookings

Woozi offers booking tools: bookings made, moved or cancelled by Woozi AI in the conversation, with a waitlist for freed slots; a public booking page (/b/…) and its QR code, where the Customer's client confirms the booking by WhatsApp or email; confirmations by email (with an .ics calendar file) and in the conversation; reminders 24 hours and 4 hours before the appointment, by email and, where the conversation allows it, on WhatsApp; and, if the Customer turns them on, Google review requests after the appointment. Woozi takes no payment for bookings and does not sync with any external calendar.

  • Woozi is only a booking tool. The service contract, prices, payment, cancellations and no-shows are exclusively between the Customer and its own client. Woozi is not a party to that contract.
  • The Customer keeps its services, hours, locations and availability up to date in Woozi, and checks bookings made by the AI.
  • Woozi is not liable for wrong, double or missed bookings, lost revenue or no-shows caused by wrong settings, AI errors, outages of third-party platforms (Meta, WhatsApp, email providers) or reminders that were not delivered.
  • The Customer is responsible for the content of its booking page and of the reminder messages sent in its name.

14Customer obligations and acceptable use

  • Obtain the consent each person must give before being messaged, in particular for marketing messages, and honour opt-out requests.
  • Follow the policies of Meta, WhatsApp Business, Messenger and Instagram, and applicable law (data protection, consumer law, direct marketing).
  • Do not send unsolicited, unlawful, misleading, hateful or fraudulent messages; do not impersonate anyone; do not infringe third-party rights.
  • Do not try to get around the service's security, limits or access controls, or resell it without written agreement.
  • Keep credentials confidential. The Customer is answerable for what is done from its account, including by its team members. Invitation links give access to the account: share them only with the intended person.

15Dependence on Meta platforms

Woozi runs on Meta's WhatsApp Business, Messenger and Instagram platforms. Message delivery, WhatsApp conversation pricing (billed to the Customer directly by Meta), template approval and number quality are Meta's. If Meta restricts or suspends the Customer's account or number, Woozi can no longer send on its behalf; amounts already paid are not refunded for that reason.

16Data

The Customer owns its data (contacts, conversations, media, bookings). For its clients' personal data, the Customer is the controller and Woozi acts as processor, under the data processing agreement (DPA) annexed to these terms. Account users' data is handled as described in the privacy policy.

Woozi staff can open the content of a conversation only for support or security; every opening is recorded in an access log.

17Suspension by Woozi

Woozi may suspend or end access to the service for a breach of these terms, non-payment, use that endangers the platform, other customers or third parties, misuse of Woozi AI, a request from Meta, or a legal obligation. Except in an emergency, the Customer is warned first and may remedy the breach.

18End of the contract: data export and deletion

  • Before or after the subscription ends, the Customer can export its contact list (CSV) and, for each contact, its booking data (JSON), from the Contacts page. There is currently no full account or conversation export; on request to tonmoy@woozi.cloud, we help the Customer retrieve its data.
  • After the subscription ends, the account stays viewable and its data is kept until the Customer deletes the account or asks us to.
  • Deleting the account (by its owner) immediately erases its contacts, conversations, messages, bookings, automations and files, and cannot be undone. What is kept after deletion is described in the privacy policy.

19Availability

Woozi uses reasonable efforts to keep the service available and working, without promising it will be uninterrupted or error free. Maintenance and incidents at Meta, our hosts or our providers can interrupt it.

20Liability

  • Woozi's obligation is one of means (best efforts). Woozi is liable only for proven fault and only for direct damage.
  • Woozi is not liable for indirect damage, including lost revenue, customers, data or opportunity, nor for the consequences of Meta's decisions or of content sent by or for the Customer.
  • Woozi's total liability under the contract is limited to the amounts the Customer paid in the 12 months before the event giving rise to the claim.
  • These limits do not apply to gross negligence or wilful misconduct, or where the law forbids them.

The Customer indemnifies Woozi against third-party claims arising from the messages it sends, from missing consents, or from use of the service contrary to these terms.

21Changes to these terms

Woozi may change these terms. Each version has a date and a number. Material changes are notified by email and must be accepted at the next sign-in; a price change also follows the 30-day notice rule above. A Customer who refuses a new version may cancel before it takes effect.

22Governing law and jurisdiction

These terms are governed by French law. Any dispute about their formation, performance or interpretation falls within the exclusive jurisdiction of the Tribunal des activités économiques (economic activities court) of Nanterre, France, including for summary proceedings or where there are several defendants.

If a clause is held void, the others remain in force.

23Language

These terms are written in French and translated into English. If the two differ, the French version prevails.
